How to register a CORPORATION with the SEC Print E-mail

The more recent searches here at the Pinoy Entrepreneurs relate to the guide on how to register a corporation with the Securities and Exchange Commission (SEC) of the Philippines (we just have to mention the Philippines because there's also a SEC in the United States). These search hits are suprising, although certainly welcome, considering that there's still no registration guide, except on the registration of business names, posted in this site. So, in order not to disappoint whoever made that search, here's the guide on registering a corporation with the SEC.
 
1. Verify and reserve the proposed corporate name. You could do this the hard way, at the SEC Verification Unit, located at the SEC Building, EDSA, Greenhills, Mandaluyong City (right across the Philippine Overseas Employment Administration [POEA] and the EDSA Shrine). If you want to make your life a bit easier, you could do the verification and registration online, through the SEC-iRegister, a 24-7 portal. After paying the reservation fee, you will get a Name Verification Slip, which is submitted together with the other requirements.
 
2. Prepare the Articles of Incorporation and By-laws. Blank forms are also available from the Company Registration and Monitoring Department (CRMD). The drafting of the Articles of Incorporation and the By-laws, as well as the other requirements, could also be done by your lawyer.
 
3. Deposit the minimum paid-up capital in the bank. Banks usually require a resolution by the incorporators authorizing the Treasurer to open a bank account and transact with the bank. Get the bank certificate of deposit, as this is one of the documents that you have to submit to the SEC. 
 
4. Prepare the: (i) Treasurer’s Affidavit/Authority to Verify Bank Account; (ii) Written Undertaking to Change Corporate Name by any Incorporator or Director, Trustee, Partner; and (iii) Registration Data Sheet.
 
5. File the complete documents with the CRMD, upon payment of the requisite filing fees.
 
Please note that for certain corporations, an endorsement from other government agencies is required, depending on the purposes of the corporation. For instance, a proposed bank, pawnshop or other financial intermediaries with quasi-banking functions must secure an endorsement from the Bangko Sentral ng Pilipinas (BSP). Certain businesses must also secure endorsements from other agencies, like the Department of Social Welfare and Development (DSWD), Department of Education (DEpED), Technical Education Skills and Development Authority (TESDA), Department of Energy (DOE), Department of Health (DOH), Insurance Commission, National Telecommunication Commission (NTC), Philippine Overseas Employment Administration (POEA), Philippine National Police (PNP), Maritime Industry Authority, or the Department of National Defense (DND).
 
Please also note that there are differences in the registration requirements between Stock Corporations and Non-Stock Corporations. The requirements are also different when it comes to Partnerships, which are under the jurisdiction of the SEC. The registration guide for Non-Stock Corporations and Partnerships will be discussed in subsequent posts.

why an endorsement from other government agencies is required before filling in Security and Exchange Commission?

DTI encouraged us to go negosyo, with a very limited number of persons they could entertain daily to be issued a certifation, now my gosh...its even worse...imagin its now May 8, we filed our registration last April 4, 2009, they changed the process as if they will mail the certificate, sana yung dati nalang pag ka file the same day i print... eh anu na May 8 na wala pa rin sobrang delay. Imagine ang rental ng space umaandar na you can not do anything, mataas pa ang mailing fee na sa ordinary mailing. Sana kahit gumastos ng LBC kami na mag shoulder, madeliver lang within 24 hours...kaso wala

Does a medical transcription service co. needs to be acredit by TESDA? does it need to be endorsed to the said agency if we would build up a corporation that initially has 4 units of computer only.?? pls reply thanks

Gud afternoon po magta2nong lng po sana ako kung paano po kaya mapa2ltan ang address ng SEC Registration ng company? and Paano po kaya nmin pwding maidag2 ang aba abang address ng rehabilitation namin para po isang sec registration nlang po. Sana po makatugon kayo agad sa aking katanungan maraming salamat po!

good day po. I will just seek for advices rehgarding our problem with the registration. We are operating a small school. It has been operating for 9 years. I replaced the Old principal just last June. There was no turn -over of documents that's why I am having problem with what I just learned. Hindi po nakapagregister last year ang school and nakita ko sa mga naiwang documents na may nakaschedule na conference ang may-ari ng school with SEC. Ano pa kaya ang pwede kong gawin? Ano-ano po ang mga documents na kailangan kong isubmit para pagpunta ko s SEC ay kumpleto ang mga dala kong ppers

I am trying to register a company with SEC in relation to a project within PEZA w/c has already been approved (by PEZA).The plan is for the new company to be 100% foreign owned.W/c application would be appropriate, the "Application to do Business under the Foreign investment Act of 1991" (RA 7042) (SEC form F-100) or is it the "Application of a Foreign Corporation to Establish a Branch Office in the Phil" (SEC form F-103)?

good afternoon....what if nag change kami ng board of directors ano ang gawin namin ang ano ano ang documents na kailagan nami e past sa inyo?

may i know if where or to what agencies does a food micro-entrepreneur register for his/her food micro-enterprise?
