Contracts
Wednesday, 05 September 2007
When we started our discussion on the basic elements of contracts, we mentioned that the article is the first in the series of articles on contracts. This is intended to give Pinoy Entrepreneurs a working knowledge on something that they will definitely bump into in the course of business transactions - contracts. To provide order to the chaotic world of contracts, let's discuss the parts or basic provisions one by one.

Business Blogs and the Pinoy Entrepreneurs Wiki

Nothing is permanent in life, something which could very well be said about business, as well as the Pinoy Entrepreneurs site. Just recently, we announced the removal of the Business Glossary and added the Dictionary in its place, something which is necessary to remove duplication of work. The desirability of duplication, in business or in the internet, depends on many things. Sometimes it's necessary to remove employees in redundancy, but it may also be necessary to implement redundant systems to ensure that service continues should something happen to the front line.

The Business Glossary, which WAS one of the items at the top menu, was intended to give Pinoy Entrepreneurs an easy access to terms and phrases that they would commonly bump into in ordinary business transactions, as well as the day-to-day workings of their businesses or entrepreneurial endeavors. The Business Glossary was broken down into certain categories (e.g., General Business, HR and Labor, Corporations) for the convenience of the members of the Pinoy Entrepreneurs community.

Entrepreneur Guide: Basic elements of a Contract
Contracts
Thursday, 16 August 2007
If a contract brings you to court, it's a poorly-prepared contract. The rationale for this statement is this - if the rights and obligations of the parties are clearly provided and defined, there's a lesser chance of misinterpretation. This, of course, is not necessarily true. Even a carefully drafted contract, prepared by the big law firms, may still end up in court if the parties do not comply in good faith with their respective obligations. Still, it would be better to know the basic elements of a contract.

A contract is a meeting of the minds between two persons whereby one binds himself, with respect to the other, to give something or to render some services. A contract is also defined as "a juridical convention manifested in legal form, by virtue of which one or more persons bind themselves in favor of another or others, or reciprocally, to the fulfillment of a prestation to give, to do, or not to do" (see Dictionary). A contract binds both contracting parties and has the force of law between them.

It's gratifying to see so many sites similar to the Pinoy Entrepreneurs (or, rather, to which this Pinoy Entrepreneurs site is similar). This site is relatively new, if we reckon it from the heart-wrenching server crash, but regardless of who came first, the important matter is for each site to serve the purpose of promoting Filipino entrepreneurship.
